These Terms & Conditions ("Terms") govern your access to and use of the DivineEdu website, mobile applications, offline coaching centres, online learning platform, Learning Management System (LMS), digital library, online examination platform, educational merchandise store, franchise services and all other products and services provided by the Company. By accessing, browsing, registering for, purchasing, or using any of our Services, you acknowledge that you have read, understood and agree to be legally bound by these Terms. If you do not agree to these Terms, you should not use our Services. These Terms apply to all users including students, parents or legal guardians, teachers, franchise partners, employees, visitors, customers, vendors and any other person accessing or using our Services.

Unless the context otherwise requires:

• Account means a registered user profile created on the DivineEdu Platform.
• Platform means the DivineEdu website, Android application, iOS application, LMS, ERP, online examination portal and associated digital services.
• Services include all educational, academic, technological, digital and commercial services offered by the Company.
• Student means any learner enrolled in any online or offline educational program.
• Parent includes the student's parent or lawful guardian.
• Teacher means faculty members, mentors, trainers, guest lecturers or instructors associated with the Company.
• Franchise means an authorized franchise or learning centre operating under the Company's brand pursuant to a separate franchise agreement.
• Digital Content includes recorded video lectures, PDFs, e-books, question banks, notes, assignments, mock tests, software, downloadable content and other electronic educational resources.
• User means any person accessing or using the Platform or Services.

By using our Services, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement.
• The information you provide is accurate and complete.
• You will comply with all applicable laws and these Terms.
• If you are below 18 years of age, your parent or legal guardian has authorized your use of the Services where required.

The Company reserves the right to refuse access or terminate accounts that do not satisfy applicable eligibility requirements.

Teachers shall maintain confidentiality of student information and comply with Company policies regarding data protection and professional conduct.

Admission to any course is subject to eligibility criteria, seat availability, verification of documents and successful completion of applicable admission procedures. Submission of an admission enquiry or application does not guarantee admission.

The Company reserves the right to:

• Accept or reject applications.
• Verify submitted information.
• Modify admission requirements.
• Allocate batches based on operational requirements.

Enrolment becomes effective only after:

• Successful registration.
• Verification of required information.
• Payment of applicable fees or confirmation of an approved payment arrangement.

The Company reserves the right to change course schedules, faculty assignments, curriculum, class timings, teaching methodology or delivery mode where reasonably necessary.

The Company operates and authorizes educational franchise centres in various locations. Franchise centres operate under separate contractual arrangements with the Company. Students enrolled through an authorized franchise remain users of the DivineEdu Platform and may access centralized digital services where applicable. Certain administrative functions, fee collection or local operations may be managed by the respective franchise centre in accordance with Company policies.

Users are granted a limited, non-exclusive, non-transferable and revocable licence to access and use the website and mobile applications solely for lawful and personal educational purposes.

Users shall not:

• Attempt to gain unauthorized access to any part of the Platform.
• Introduce malicious software or harmful code.
• Interfere with the operation or security of the Platform.
• Reverse engineer, decompile or attempt to extract source code except where permitted by applicable law.
• Use automated tools, bots or scripts in a manner that disrupts the Services or violates these Terms.

The Company may modify, suspend or discontinue any feature of the Platform at any time, with or without prior notice, subject to applicable law.

The Company continually improves its educational offerings and technology. Accordingly, we may add, modify, replace or discontinue courses, features, digital content, software functionality or other Services from time to time. Where practical, material changes affecting ongoing paid services will be communicated through appropriate channels.

By creating an account or using our Services, you consent to receive service-related communications through email, SMS, WhatsApp, push notifications, telephone calls or other electronic means regarding admissions, classes, examinations, transactions, support requests, security notices and other operational matters. Where required by law, promotional communications will be sent only with appropriate consent or an available opt-out mechanism.

You acknowledge and agree that electronic records, communications, notices, invoices, receipts, agreements and other documents generated or maintained by the Company may satisfy applicable legal requirements for written records, subject to governing law.

Fees for courses, books, test series, digital products, educational merchandise and other services shall be as displayed on the Platform or otherwise communicated by the Company.

Unless expressly stated otherwise:

• All prices are quoted in Indian Rupees (INR).
• Applicable taxes, including GST, may be charged separately where required by law.
• Payment is due in accordance with the selected payment plan or invoice.
• Access to certain services may commence only after successful verification of payment.

The Company reserves the right to revise fees for future admissions, new purchases or renewals. Any fee revision will not affect completed purchases unless expressly stated.

Online payments may be processed through authorized payment service providers, including Razorpay and other regulated payment partners. By making a payment, you represent that:

• You are authorized to use the selected payment method.
• The payment information provided is accurate.
• You will comply with the terms of the payment service provider.

The Company is not responsible for delays, interruptions or failures caused solely by banking systems, payment gateways, card networks or other third-party payment providers.

Students attending offline coaching centres are expected to:

• Attend classes regularly and punctually.
• Carry any required identification or student card where applicable.
• Follow classroom discipline and safety instructions.
• Treat faculty, staff and fellow students with respect.
• Use institute property responsibly.
• Comply with examination and attendance requirements.

The Company may take appropriate disciplinary action for misconduct, including suspension or termination of access to services, where justified.

Students participating in online classes shall:

• Use their own registered account.
• Ensure a stable internet connection and compatible device.
• Join classes in a respectful and lawful manner.
• Avoid disruptive behaviour.
• Follow instructions issued by faculty members.

The Company does not guarantee uninterrupted availability of live classes due to factors such as internet outages, power failures, force majeure events or third-party service interruptions. Where reasonably practicable, recordings or alternative learning resources may be provided at the Company's discretion.

Access to recorded video courses is granted subject to the licence associated with the purchased course.

Unless expressly stated otherwise:

• Access is personal and non-transferable.
• Sharing login credentials is prohibited.
• Recording, downloading (except where permitted), redistributing or commercially exploiting course content is prohibited.
• Access periods may be limited according to the applicable course terms.

The Company reserves the right to update, replace or improve course content from time to time.

The Company may offer:

Scores, rankings, analytics and performance reports are provided for educational purposes only and should not be interpreted as guarantees of future academic performance or examination outcomes. The Company reserves the right to investigate suspected cheating, misuse or technical manipulation and may invalidate results where appropriate.

Digital products include, but are not limited to:

• Assignments

Digital products are licensed for personal educational use only. Users shall not:

• Share purchased files with others.
• Upload files to public platforms.
• Remove copyright notices or digital protections.
• Resell or commercially distribute digital content.

Where digital rights management or watermarking is used, users shall not attempt to remove or bypass such protections.

Product descriptions, images and specifications are provided for general information. Minor variations in colour, packaging or design may occur without affecting the educational purpose of the product. Delivery timelines are estimates and may vary due to courier operations or other circumstances beyond the Company's reasonable control.

All intellectual property rights relating to the Platform and Services remain the exclusive property of DIVINE EDUCATION NETWORK PRIVATE LIMITED or its licensors. This includes, without limitation:

• Trademarks
• Brand Names
• Course Content
• Videos
• Notes
• Books
• PDFs
• Question Banks
• Software
• Source Code
• Website Design

• Graphics
• Images
• Audio
• Databases
• Educational Materials

Nothing in these Terms transfers ownership of any intellectual property to users.

All educational content published by the Company is protected by applicable copyright laws. Except where expressly permitted, users shall not:

• Copy content.
• Scan books.
• Record paid lectures.
• Upload content to YouTube or social media.
• Share PDFs through messaging applications.
• Redistribute digital material.
• Translate and republish content without authorization.
• Commercially exploit Company content.

The Company reserves all legal rights available under applicable intellectual property laws.

Users agree to use the Platform responsibly. Users shall not:

• Violate applicable laws.
• Impersonate another person.
• Use false information.

These features are intended to assist learning and improve user experience. AI-generated outputs:

• May contain inaccuracies.

• Are not a substitute for professional educational advice or teacher guidance.

The Company does not guarantee that AI-generated responses will always be accurate, complete or suitable for every educational purpose.

Where users submit assignments, comments, reviews, questions or other content through the Platform:

• Users remain responsible for the legality and accuracy of their submissions.
• Users represent that they have the necessary rights to submit such content.
• Users shall not submit content that infringes the rights of others or violates applicable law.

By submitting content, users grant the Company a non-exclusive, worldwide, royalty-free licence to use such content for operating, improving and promoting the Services, subject to applicable law.

The Platform may integrate with third-party services, including payment gateways, cloud hosting providers, analytics providers, communication platforms and other technology partners. The Company is not responsible for the independent terms, privacy practices or operational policies of third-party services. Users should review the terms and policies applicable to those services before using them.

From time to time, the Company may offer scholarships, discounts, coupons, promotional pricing or limited-time offers. Unless expressly stated otherwise:

• Promotional offers cannot be combined.
• Offers are subject to eligibility criteria.
• Offers may be modified or withdrawn at the Company's discretion.
• Promotional pricing applies only during the specified validity period.

Misuse of promotional offers may result in cancellation of the offer or related transaction.

The Refund Policy forms an integral part of these Terms & Conditions.

The Services are provided on an "as is" and "as available" basis, to the maximum extent permitted by applicable law. While the Company makes reasonable efforts to provide accurate educational content and reliable services, it does not warrant that:

• The Platform will always be uninterrupted or error-free.
• Every course will meet every student's individual expectations.
• Technical issues will never occur.
• AI-generated content will always be accurate.
• Examination performance or academic success can be guaranteed.
• Employment, admission or scholarship outcomes are guaranteed.

Educational success depends upon multiple factors, including the student's own effort, attendance, preparation and external circumstances.

The Company provides educational guidance and learning resources. The Company does not guarantee:

• Board examination marks.
• Competitive examination ranks.
• Admission into any institution.
• Scholarships.
• Employment.
• Professional licensing.
• Future academic performance.

Any testimonials, rankings, success stories or previous results displayed by the Company are illustrative of individual experiences and should not be interpreted as guarantees of future outcomes.

To the maximum extent permitted by applicable law, DIVINE EDUCATION NETWORK PRIVATE LIMITED, its directors, officers, employees, faculty members, franchisees, consultants and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages arising out of or relating to the use of the Services. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud or wilful misconduct where legally applicable. Where liability cannot be excluded, it shall be limited to the extent permitted by law.

Users are responsible for:

• Maintaining accurate account information.
• Keeping login credentials secure.
• Using the Platform lawfully.
• Ensuring appropriate internet connectivity.
• Protecting their own devices from malware.
• Reviewing applicable policies before making purchases.

Parents remain responsible for supervising the use of the Services by minor students where appropriate.

To the extent permitted by applicable law, users agree to indemnify and hold harmless DIVINE EDUCATION NETWORK PRIVATE LIMITED, its directors, officers, employees and affiliates from claims, losses, liabilities, costs and expenses arising from:

This clause shall not apply to the extent that any claim arises from the Company's own negligence, fraud or other liability that cannot be excluded under applicable law.

The Company shall not be responsible for delays or failure in performance resulting from events beyond its reasonable control, including but not limited to:

• Fire.
• Pandemic or epidemic.
• War.
• Civil unrest.
• Government actions.
• Internet failures.
• Power outages.
• Cyber attacks.
• Telecommunications failures.
• Labour disputes.

The Company will make reasonable efforts to resume normal operations as soon as practicable.

The Company may suspend or terminate access to the Platform where reasonably necessary, including where a user:

• Violates these Terms.
• Uses false information.
• Shares login credentials contrary to applicable policies.
• Engages in piracy or unauthorized distribution of content.
• Commits fraud.
• Attempts unauthorized access.
• Misuses examination systems.
• Causes harm to other users or the Platform.

Where appropriate, users may be given an opportunity to respond before permanent termination, unless immediate action is reasonably required for security, legal compliance or protection of users. Termination of an account does not automatically extinguish outstanding payment obligations or accrued rights and responsibilities.

The Company may improve, modify, replace or discontinue features, courses, technology, educational content or operational processes from time to time. Material changes affecting ongoing paid services will, where reasonably practicable, be communicated through appropriate channels.

The Company reserves the right to amend these Terms from time to time. Updated Terms will be published on the Platform with a revised "Last Updated" date. Continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Nothing in these Terms limits any mandatory consumer rights available under applicable law.

The Company encourages users to contact its support team to attempt an amicable resolution of any dispute. If a dispute cannot be resolved amicably, it shall be subject to the jurisdiction of the competent courts at Vadodara, Gujarat, unless otherwise required by applicable law. Nothing in this clause prevents either party from seeking urgent interim or injunctive relief before a court of competent jurisdiction where legally appropriate.

If any provision of these Terms is determined to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

The Company may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring or sale of business, subject to applicable law. Users may not assign or transfer their rights or obligations under these Terms without the Company's prior written consent.

These Terms & Conditions, together with the Privacy Policy, Cancellation & Refund Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between the user and DIVINE EDUCATION NETWORK PRIVATE LIMITED regarding the use of the Services.

By accessing or using the DivineEdu website, mobile applications, offline coaching centres, online learning platform, franchise services or any other services offered by DIVINE EDUCATION NETWORK PRIVATE LIMITED, you acknowledge that you have read, understood and agree to be bound by these Terms & Conditions. If you do not agree to these Terms, you should discontinue use of the applicable Services.
